Senior Corporate Affairs
Position Overview
For our Headquarters in Lainate (Milan), we are looking for a Senior Corporate Affairs Specialist. The successful candidate will join the Legal Department of SAES Getters S.p.A. and report directly to the Group General Counsel. The role is focused on managing corporate law and corporate governance matters, both for the Parent Company and for the Group’s subsidiaries.
Key Responsibilities
• Corporate Bodies and Governance: provide legal support to the Board of Directors, Shareholders’ Meetings, and other corporate bodies. Manage the entire operational process, including governance calendar planning, meeting notices, agenda preparation, drafting of supporting documentation, minute-taking, maintenance of corporate books, and filings with the Companies Register.
• Corporate Documentation and Extraordinary Transactions: draft and continuously update corporate documentation, including Articles of Association and Shareholders’ Agreements. Support governance aspects of extraordinary transactions (mergers, demergers, capital increases, corporate reorganizations) and the related due diligence activities.
• Stock Options: Oversee the legal, executive, and equity management of stock ownership and stock option plans.
• Powers of Attorney and Signing Authorities: oversee the entire lifecycle (issuance, amendment, renewal, and revocation) of powers of attorney, delegations of authority, and corporate signing powers, ensuring their continuous alignment with business needs.
• Legal Advice and External Advisors: liaise with notaries, law firms, and specialized advisors. Continuously monitor developments in corporate legislation to ensure the timely adaptation of company practices and governance processes.
Requirements
• Education: Law Degree. Admission to the Bar will be considered a preferred qualification.
• Experience: at least 10 years of specialized experience in corporate law, corporate governance, and support to corporate bodies, gained within structured in-house legal departments, law firms, or consulting firms.
• Technical Skills: strong expertise in Italian corporate law, governance frameworks, ordinary and extraordinary corporate compliance requirements, management of powers of attorney systems, corporate documentation (including shareholders’ agreements and articles of association), and the legal and equity-related aspects of stock option plans.
• Soft Skills: strong autonomy, excellent drafting skills, outstanding organizational abilities, and a high level of discretion when interacting directly with the Board of Directors and senior management.
• Languages: fluent English, both written and spoken.

What We Offer
• Permanent, full-time employment contract.
• Indicative gross annual salary: €60,000 – €70,000.
• Employment framework: italian Metalworking Industry Collective Agreement – Level B3 / A1
